Non-Disclosure Agreement

Registered users of this site have access to confidential material which is accessed by you subject to the following Non-Disclosure Agreement:

• Definition of Confidential Information. For purposes of this Agreement, “Confidential Information” means information relating to the Rocket Salad’s business, including, without limitation, product designs, product plans, data, software, and technology, financial information, marketing plans, business opportunities, pricing information, discounts, inventions and know-how (including the existence and terms of this Agreement) disclosed by Rocket Salad, that either: (a) is designated as confidential by Rocket Salad; or (b) should reasonably be considered, given the nature of the information or the circumstances surrounding its disclosure, to be confidential. Confidential Information also includes the terms and conditions of this Agreement and the existence of the discussions between the parties.
• Use of Confidential Information. When you access Confidential Information under this Agreement you may use the Confidential Information only for your own use for the purpose of internal evaluation. You may not use for its own benefit or otherwise disclose any of the Confidential Information for any other purpose.
• Exclusions from Confidential Information. Your obligations under this Agreement do not extend to information that is: (a) publicly known at the time of disclosure or subsequently becomes publicly known through no fault of your own; (b) discovered or created by the you before disclosure by Rocket Salad; (c) learned by you through legitimate means other than from Rocket Salad or its representatives; or (d) is disclosed by you with Rocket Salad’s prior written approval.

• Your obligations. You shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of Rocket Salad. You shall not allow access to Confidential Information including to your colleagues, employees, contractors and third parties the without written permission of Rocket Salad. You shall not, without prior written approval of Rocket Salad, use for your own personal or commercial benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Rocket Salad, any Confidential Information. You shall return or to Rocket Salad any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Rocket Salad requests it in writing.
• Proprietary Rights. You shall not acquire any intellectual property rights or any other rights under this Agreement except the limited right to review the Confidential Information set forth in Section 2 above. You agree that any disclosure or review of intellectual property and any related information or documentation in connection with this Agreement shall not constitute notice, nor shall the facts or circumstances relating thereto be admissible as evidence, for any purpose, including in connection with any litigation or other proceeding involving the alleged infringement of proprietary rights. This provision shall be binding upon any successors in interest to the parties’ respective intellectual property.
• Term. This Agreement terminates immediately once you are no longer a registered user of the site or upon days written notice by Rocket Salad. Your obligations shall survive any termination or expiration of this Agreement.
• Relationships. Nothing contained in this Agreement shall be deemed to constitute a partnership, joint venturer or any other relationship for any purpose.
• If the event that any of the provisions of this Agreement should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.
• This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Disputes arising here from shall be exclusively subject to the jurisdiction of the courts of England and Wales.
• If this Agreement is not accepted in full, you do not have permission to access Confidential Information and therefore should not become a registered user.
